Terms of Service

DinnerBank LLC ("DinnerBank," "we," "us," or "our") provides an online platform that allows neighbors to share homemade meals (the "Services"). By creating an account, listing a meal, joining a community, or otherwise using the Services you agree to these Terms of Service ("Terms"). If you do not agree, do not use DinnerBank LLC.
Eligibility and Accounts
- You must be at least 18 years old and able to form binding contracts under applicable law.
- You are responsible for safeguarding your account credentials and for all activity that occurs on your account.
- Information you provide must be accurate and kept up to date. Misrepresenting your identity, ingredients, or safety practices is grounds for suspension.
Community Responsibilities
- Follow all local, state, and federal laws and regulations that apply to food preparation, storage, and distribution.
- Disclose ingredients, allergens, and preparation practices truthfully.
- Respect community boundaries, pickup or delivery arrangements, and the privacy of other members.
- Do not post spam, harass community members, or engage in discriminatory, hateful, or unsafe conduct.
Meal Listings and Exchanges
- DinnerBank LLC does not inspect or certify meals. All exchanges occur directly between community members.
- You are solely responsible for the quality and safety of meals you list or deliver.
- Recipients are responsible for reviewing provided information, asking clarifying questions, and determining whether a meal is suitable for them or their household.
- Tokens or community systems are community coordination tools and do not constitute legal tender.
Communities and Invitations
- Community admins may manage membership, revoke invites, or disband communities at their discretion.
- When inviting new members you represent that you have their consent to share their email address with DinnerBank LLC.
- Community members agree to honor confidentiality and safety expectations communicated within the community.
Acceptable Use and Enforcement
- Do not misuse the Services to violate laws, intellectual property rights, or privacy rights.
- We may remove content, suspend accounts, or take other action if we believe these Terms, our community guidelines, or applicable laws are violated.
- We may monitor use of the Services to maintain security, investigate abuse, and improve functionality.
Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." DINNERBANK LLC MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT MEALS SHARED THROUGH THE SERVICE WILL BE SAFE, ALLERGEN-FREE, OR COMPLIANT WITH REGULATORY REQUIREMENTS. COMMUNITY MEMBERS ARE RESPONSIBLE FOR THEIR OWN FOOD SAFETY PRACTICES.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DINNERBANK LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, EXEMPLARY, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS OR REVENUES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES IS LIMITED TO THE AMOUNT YOU PAID TO USE THE SERVICES IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.
Indemnification
You agree to indemnify and hold DinnerBank LLC harmless from and against any claims, liabilities, damages, losses, and expenses (including attorneys' fees) arising out of or related to your use of the Services, your meals or content, your interactions with other users, or your violation of these Terms or applicable law.
Third-Party Links and Services
The Services may contain links to or integrations with third-party sites or services. DinnerBank LLC is not responsible for the privacy, safety, or content of third-party offerings. Use them at your own risk.
Termination
You may stop using DinnerBank LLC at any time. We may suspend or terminate access immediately for violation of these Terms or if we reasonably believe it is necessary to protect the community, comply with law, or prevent fraud.
Dispute Resolution
These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles. Any dispute arising from the Services or these Terms will be resolved exclusively in the state or federal courts located in King County, Washington, and you consent to the personal jurisdiction of those courts.
Changes to These Terms
We may update these Terms periodically. We will update the "Last updated" date above and, if changes are material, provide additional notice through the Service or by email. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
